These Terms of Service (“Terms”) govern your use of the SMS services, customer portal and APIs provided by MSG UNO (“MSG UNO”, “we”). By opening an account, binding to our platform or sending traffic, you (“Customer”) agree to these Terms, our Acceptable Use Policy and our Privacy Policy. Where a signed agreement exists between us, that agreement prevails over any conflicting term here.
1. Services
MSG UNO provides A2P SMS transmission (wholesale routes, bulk messaging, OTP and transactional delivery, two-way SMS and related registration services). We route messages to mobile network operators directly or through partners. Final delivery depends on operators and networks outside our control; we do not guarantee delivery of any individual message except as expressly set out in a signed Service Level Agreement.
2. Account and credentials
Customer must provide accurate company, contact and KYC information and keep it current. Customer is responsible for all traffic sent with its credentials (API keys, SMPP system IDs, portal logins), must keep them confidential and must notify info@msguno.com immediately of any suspected compromise.
3. Rates, billing and payment
- Rates are set out in the rate sheet issued by MSG UNO and may change with prior notice by email (normally 7 days; shorter where an operator or regulator imposes a change at short notice).
- Messages are billed per submitted part (segment) according to the destination and traffic type. Charges apply to messages accepted by our platform regardless of final delivery, unless otherwise agreed.
- Prepaid accounts must maintain a positive balance; traffic stops when the balance is exhausted. Postpaid accounts are invoiced on the agreed cycle and payable within the agreed term. Late amounts may bear interest and may lead to suspension.
- Billing queries must be raised with info@msguno.com within 30 days of the invoice or statement date.
- Taxes, bank charges and regulator or operator registration fees are the Customer's responsibility unless stated otherwise.
4. Customer obligations
- Comply with the Acceptable Use Policy and all laws and operator rules applicable in each destination, including consent/opt-in, opt-out handling, sender ID and content registration (for example India DLT, UAE/KSA sender ID, US 10DLC/TCPA) and quiet hours.
- Obtain and retain evidence of recipient consent and provide it to MSG UNO on request within two business days.
- Not send unsolicited, fraudulent, misleading, illegal or harmful content, and not use the Services for artificially inflated traffic or SMS pumping.
- Indemnify MSG UNO against claims, fines and costs arising from Customer's traffic or breach of these Terms.
5. Suspension and termination
We may suspend or restrict traffic immediately where we reasonably believe it breaches the Acceptable Use Policy, risks operator blocking, regulatory action or harm to our network, or where the account is unpaid. Either party may terminate on 30 days' written notice. Outstanding charges remain payable; unused prepaid balances are refunded less any amounts owed, subject to applicable law.
6. Service levels and support
Our NOC is available 24/7 at info@msguno.com. Platform availability and route performance targets, and any associated credits, apply only where a signed SLA is in place.
7. Data protection
Each party will comply with applicable data protection law. MSG UNO processes message data as processor on Customer's behalf under the Privacy Policy and, where required, a Data Processing Addendum available from info@msguno.com.
8. Liability
To the extent permitted by law, MSG UNO is not liable for indirect, consequential or special loss, loss of profit, revenue or data, or for operator or network failures. Our total liability under these Terms in any 12-month period is limited to the charges paid by the Customer in that period. Nothing limits liability for fraud or for anything that cannot be limited by law.
9. Confidentiality
Rate sheets, route information, traffic statistics and commercial terms are confidential and may not be disclosed to third parties without consent, except as required by law.
10. General
These Terms are governed by the law of the jurisdiction stated in the Customer's signed agreement or, absent one, the law of MSG UNO's place of incorporation, and disputes are subject to the courts of that jurisdiction. If any provision is unenforceable the remainder continues in effect. We may update these Terms with notice by email or on this page; continued use after the effective date constitutes acceptance.
